Within 120 days of filing its articles, a New York LLC publishes a notice once a week for six successive weeks in two newspapers the clerk of its county designates - one daily and one weekly. A week missed breaks the run, and that paper's six weeks start again. Each paper then sends an affidavit of publication.
With both runs done and both affidavits in hand, the LLC files a certificate of publication with the Department of State, with a $50 fee. Miss the 120 days and the LLC's authority to carry on business is suspended - it cannot, for one, sue to enforce a contract - until the certificate is filed.
