A Florida LLC files an annual report with the Division of Corporations (Sunbiz) every year after the year it was formed, between January 1 and May 1, for $138.75. File it on May 2 or later and a $400 late fee is added - $538.75 - and it is not waived. Still not filed by the third Friday of September, and the LLC is administratively dissolved. Sunbiz sends the filing confirmation back afterwards - record it against the year below and it is kept with the report, because it is the only proof the LLC has that the report went in.
A dissolved LLC is brought back by reinstatement: $100 plus $138.75 for each year's report it missed, filed together. Until then, it is not in good standing - a booking agency, a bank or a venue checking Sunbiz will see it.
