Brandywine Delaware LLC Annual Tax
For performers and studios using a Delaware LLC

$300 by June 1. Every year, from the year you formed.

Brandywine keeps your Delaware LLC's annual tax paid on time, shows the $200 penalty and the interest before they land, warns before good standing is lost or the LLC is cancelled, and keeps the registered agent on file.

Opens in this browser with an invented studio LLC already in it. No account, no email address, nothing installed. Never holds a Social Security number, a filing login or a bank account.

The problem

No annual report. Still a deadline.

A Delaware LLC pays a flat $300 for each calendar year, by June 1 of the next. Miss it and a $200 penalty plus interest follows, the LLC loses good standing - no filings, no suit in a Delaware court - and three years unpaid it is cancelled.

$300

the Delaware LLC annual tax, due June 1 and payable from April 1.

Mondaq →
$200

the penalty for paying late, plus interest - and good standing lost.

Wolters Kluwer →
June 1

the day the annual tax for the year before is due.

Wolters Kluwer →

Will not let a year slip.

Not a reminder. A payment is refused for a year not owed, before April 1, twice, or short of the tax and any penalty and interest. An agent is never dropped - a change is recorded and the old one kept. Nothing is deleted.

Questions

The ones we actually get asked

When is my first tax due?

For the year you formed, by June 1 of the next year.

I missed June 1.

Pay now - $300, the $200 penalty and 1.5% a month on both. Brandywine works out today's figure.

Is there an annual report?

Not for a Delaware LLC - just the tax. And a registered agent kept current.

Is this legal advice?

No. It is the dates and the record.

What do I actually get when I pay?

The demo on this page is the whole program, running on invented records. Paying gets you a licence key — one line of text, on your screen as soon as the payment confirms: the checkout brings you back to our thank-you page, you type your business name and the key appears. Paste it into the program and from then on it keeps your own records. Until then, nothing you type into it is kept.

The key is checked inside the page, on your own machine. It never calls us, so there is still no account and nothing about your business goes anywhere. If you ever stop paying, your records stay exactly where they are, read-only, and Export still hands you every one of them.
